Megasoft Divests IT Services Division 'BlueAlly'
HYDERABAD, India - August 19, 2009

Megasoft Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 19, 2009, inter alia, has approved the sale and transfer of the BlueAlly Division as a "going concern" to Trianz Inc., USA, which is a wholly owned subsidiary of Trianz Holdings Pvt Ltd, India. The Board of Directors have considered and approved the price consideration, which after taking into account, the value of the outstanding receivables on the date of the transfer of the division, to be around US dollar 13 to 15 million. This is subject to the approval of the shareholders of the Company under section 293(1) (a) of the Companies Act, 1956, and other approvals as may be required in this regard.

The Board of Directors of the Company at their meeting held on August 19, 2009, had also approved the 'Postal Ballot Notice' for approval of the shareholders of the Company by Ordinary Resolution under section 293(l)(a) of the Companies Act, 1956, for transfer, sell and / or dispose off of the Company's IT Services division 'BlueAlly'. The said postal ballot notice shall be filed with the stock exchanges on posting to the shareholders in due course.

  Tunetalk, a new Malaysian MVNO, selects the XIUS-bcgi Mobile Services Platform to launch  its MVNO Services in South East Asia
  HYDERABAD, India - April 27, 2009
 

XIUS-bcgi, a leader in delivering innovative telecom solutions for mobile operators and MVNOs worldwide, and Tunetalk, Malaysia's low-cost mobile phone operator, today announced that Tunetalk has chosen the XIUS-bcgi Mobile Services Platform (MSP) to power the launch and delivery of its paradigm-changing advertising supported, mobile phone service initially in Malaysia and subsequently to other countries in the ASEAN region.

XIUS-bcgi's Mobile Services Platform is a next-generation convergent platform for Mobile Virtual Network Enablers (MVNEs), Mobile Virtual Network Operators (MVNOs) and new entrants into mobile

telecommunications space.

 

Tunetalk was co-founded by Tony Fernandes, Group CEO of the successful low cost airline, AirAsia. Key investors include TuneVentures group and Celcom (Malaysia) Berhad, a subsidiary of Axiata Group Berhad (Formally known as TM International Berhad). The company hopes to replicate the success of AirAsia in the mobile space by becoming the first pan-Asean MVNO by expanding to Singapore, Indonesia, Thailand and the Philippines.

 

Tunetalk plans to provide attractively priced mobile services along with several value added features to create niche segment offerings.

The company has also established strategic relationships with retail partners for selling its MVNO services and for serving as end distribution points.

 

Tunetalk is launching on the Celcom network in Malaysia in 2009 and plans are underway for similar launches in 2010 in other countries in the region.

XIUS-bcgi will be responsible for the supply and turnkey management of the customized core network infrastructure for enabling Tunetalk's mobile launch through its multi-country rollout.

This launch will be offered as a pilot to Bharti Airtel, India’s leading integrated telecom company, under a memorandum of understanding signed between the two companies.

Diemo Selects the XIUS-bcgi Mobile Services Platform to Launch its MVNO Services in South American Countries

XIUS-bcgi, a leader in delivering innovative telecom solutions for mobile operators and MVNOs worldwide, and Diemo, the revolutionary new real-time mobile banking services provider, today announced a USD $15 million agreement under which Diemo has chosen the XIUS-bcgi Mobile Services Platform to power the launch and delivery of its paradigm-changing service offering in the South American region. Additionally, Diemo has chosen XIUS-bcgi as its System Integration Partner for supply and management of other third-party professional services including content vendors and other value-added services partners.

Diemo aims to provide banking and payment services for un-served and underserved markets as well as mobile access.   Innovative Mobile Guardian Solution Allows Subscribers to Act as “Guardians” for All Lines on Their Accounts

XIUS-bcgi, a leader in delivering innovative, revenue-generating solutions to mobile operators and MVNOs worldwide, today announced that the Mexican patent office has allowed XIUS-bcgi’s Mexican patent application pertaining to the supervisory controls of wireless communications. This allowance follows the issuance of U.S. patents 7,197,321; 7,206,569 and 7,218,912, which also relate to the supervisory control of wireless communications.  This patented technology is at the core of the company’s Mobile Guardian solution, which combines powerful access management capabilities with leading-edge content-filtering technology.

  Solution allows wireless carriers to offload network traffic without expensive upgrades
  BARCELONA – February 11, 2008
 

XIUS-bcgi, a leader in delivering innovative, revenue-generating solutions to mobile operators and MVNOs worldwide, today announced INergy, an IN offload solution, which allows wireless telecommunication carriers to offload traffic from their existing IN session control and prepaid applications without expensive capacity expansions and/or network upgrades. The XIUS-bcgi IN offload solution therefore vastly reduces the traditional costs associated with handling surges in traffic. XIUS-bcgi executives discuss this and more at booth 1G63 at Mobile World Congress, taking place today through February 14th at the Fira de Barcelona.

In the effort to stem the expense of upgrading an IN to the next capacity tier, XIUS-bcgi allows carriers to route all traffic through the IN offload platform’s intelligent routing engine. The routing engine uses carrier-defined criteria for determining call traffic flow, allowing the carrier to send only required traffic through to the IN platform. This allows the carrier to extend the length of time they stay within the licensed parameters for the IN network components and defer upgrade expense. The solution achieves this by offloading the processing of select prepaid call traffic onto the XIUS-bcgi platform. XIUS-bcgi also can customize the solution to process regular subscriber traffic in addition to prepaid users. INergy is expected to be available in the second quarter of 2008.

The coming together of XIUS – BCGI, will create a platform of next-generation, high value products and services for its customers in the telecom sector globally. The announcement came soon after Megasoft completed its acquisition of BCGI on August 30th, 2007.

As mentioned during a media conference in July while announcing the acquisition plan, GV Kumar, chief executive officer and managing director of Megasoft had said, "This transaction creates significant value for our customers as it expands our market and technology leadership in what is one of the most exciting areas of our industry's transformation: convergent telecom."
